Laams Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Laams Workspace and all its modules (the “Service”), offered by Laams Technologies PTY LTD (“Laams,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.


1. Definitions


2. Acceptance & Eligibility

  1. Agreement. By clicking “Accept,” registering, or using the Service, you agree to these Terms and all referenced policies.
  2. Eligibility. You represent and warrant you are at least 18 years old and have authority to bind your organization.

3. Account Registration & Security

  1. Registration Data. You must provide complete, accurate, and up-to-date information.
  2. User Roles & Permissions. You may assign roles (e.g., Administrator, Manager, User) with granular permissions. You are responsible for all activities under your account.
  3. Credentials. You must keep passwords confidential and enforce MFA (Multi-Factor Authentication) for Administrator accounts.
  4. Notification. You must notify us immediately of any unauthorized use or security breach.

4. Service Provision & Support

  1. License Grant. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
  2. Service Levels
    • Availability: 99.9% uptime target (excluding scheduled maintenance).
    • Scheduled Maintenance: We will give at least 48 hours’ notice for planned downtime.
    • Support: Tiered support (email, chat, phone) with defined response times:
      • Critical (P1): 1 hour
      • High (P2): 4 hours
      • Medium (P3): 24 hours
      • Low (P4): 72 hours
  3. Service Changes. We may modify, upgrade, or discontinue features. We’ll endeavor to provide 30 days’ notice for major changes.

5. Fees, Billing & Payment

  1. Subscription Fees. Paid monthly or annually as per your order form.
  2. Usage Fees. Fees for transaction volume (e.g., payment processing fees, API calls) may apply.
  3. Invoicing & Payment Terms. Net 30 days from invoice date.
  4. Late Payments. Interest at 1.5% per month or maximum permitted.
  5. Taxes. You’re responsible for all sales, VAT/GST, and withholding taxes.

6. Trials, Upgrades & Cancellations

  1. Free Trial. Limited trial period; upon expiration, you’ll be billed unless you cancel.
  2. Plan Upgrades/Downgrades
    • Upgrades: Immediate effect; billed pro rata.
    • Downgrades: Effective at next renewal; may require data/momentary feature access adjustments.
  3. Termination & Refunds
    • You may terminate at any time with 30 days’ notice.
    • No refunds for partial periods except as required by law.

7. Customer Responsibilities & Acceptable Use

  1. Data Accuracy. You are solely responsible for the content, accuracy, and legality of Customer Content and Account Data.
  2. Compliance. You must comply with all applicable laws, regulations, and fiscal requirements (e.g., GAAP/IFRS for accounting, labor laws for HR/payroll, PCI DSS for payments, GDPR/CCPA for personal data).
  3. Acceptable Use. Prohibited activities include:
    • Uploading malicious code or viruses.
    • Unauthorized access or scanning of Service infrastructure.
    • Sending spam or unsolicited communications.
    • Infringing third-party IP or privacy rights.

8. Data Protection & Privacy

  1. Privacy Policy. Our Privacy Policy describes our data handling practices.
  2. Data Processing Addendum (DPA). Where applicable (e.g., processing EU personal data), the DPA governs our sub-processor use, data transfers, and data subject rights.
  3. Security Measures
    • Encryption at rest (AES-256) and in transit (TLS 1.2+).
    • Regular vulnerability assessments and annual penetration testing.
    • SOC 2 Type II compliance and ISO 27001 certification.
  4. Data Breach Notification. In case of a confirmed breach, we will notify you within 72 hours per GDPR requirements.

9. Intellectual Property

  1. Ownership
    • Laams: Retains all rights to the Service, trademarks, software, and documentation.
    • You: Retain all rights to your Customer Content and Account Data.
  2. Feedback. Any suggestions or improvements you propose become Laams’ exclusive property.
  3. License to Customer Content. You grant us a non-exclusive, royalty-free license to use, copy, and display Customer Content as needed to provide the Service.

10. Third-Party Integrations & APIs

  1. API Use. Your API keys are confidential. You must adhere to our API rate limits and usage policies.
  2. Marketplace & Extensions. Third-party apps/extensions are governed by their own terms. Laams disclaims liability for third-party integrations.

11. Warranties & Disclaimers

  1. Limited Warranty. We warrant the Service will substantially conform to published specifications under normal use.
  2. Disclaimer. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” LAAMS DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

  1. Exclusion of Damages. Neither party is liable for indirect, incidental, consequential, punitive, or special damages (including lost profits).
  2. Cap. Laams’ aggregate liability for direct damages is capped at the total fees paid by you in the 12 months preceding the claim.
  3. Exceptions. Liability for breach of confidentiality, willful misconduct, death or personal injury, and indemnification obligations is not limited.

13. Indemnification

  1. By You. You will defend and indemnify Laams and its affiliates against claims arising from:
    • Your breach of these Terms.
    • Your Customer Content or use of the Service.
    • Your violation of applicable laws.
  2. By Laams. We will defend you against third-party claims that the Service infringes IP rights, subject to Sections 12 and 16.

14. Termination & Suspension

  1. Termination for Cause. Either party may terminate for material breach not cured within 30 days.
  2. Suspension. We may suspend access if you breach these Terms or for security reasons, giving notice where feasible.
  3. Effect. Upon termination or suspension, you lose access, but we will retain your data for 30 days to allow export.

  1. To You: Email to your registered address or in-app notification.

  3. Effective Upon Receipt (unless otherwise stated).


17. Governing Law & Dispute Resolution

  1. Governing Law: [State/Country], excluding conflict-of-law rules.
  2. Arbitration: Any dispute shall be resolved by binding arbitration under the rules of the [Arbitration Institution] in [City, Country], except you may seek injunctive relief in court.
  3. Class Action Waiver: You and Laams waive the right to participate in class or representative actions.

18. Force Majeure

Neither party is liable for delays or failures due to causes beyond their reasonable control (e.g., acts of God, war, terrorism, strikes, Internet failures).


19. Miscellaneous

  1. Severability: Invalid provisions are severable; remaining Terms remain in force.
  2. Waiver: No waiver is effective unless in writing and signed.
  3. Assignment: You may not assign without our consent. We may assign in connection with a merger or sale.
  4. Entire Agreement: These Terms, Order Forms, DPA, and Privacy Policy constitute the full agreement.

By using Laams Workspace, you acknowledge that you have read, understand, and agree to these Terms.
